Transfer Pricing through Associates
Overview of Cyprus transfer pricing regulations
Since January 1, 2022, Cyprus has implemented a robust and OECD-aligned transfer pricing (TP) framework. These rules apply to transactions between associated enterprises (related parties), whether Cypriot or foreign. The legislation aims to ensure that intra-group transactions are conducted on an arm’s length basis, minimizing risks of base erosion and profit shifting.
The law introduces strict documentation and reporting requirements, together with significant penalties for non-compliance. For businesses with intercompany dealings, especially through associates, the proper application of TP rules is essential to remain compliant with the Cyprus Tax Department (CTD).
Who qualifies as an associated enterprise?
The definition of associated enterprises is broad under Cypriot law. A relationship is generally deemed to exist where one entity participates directly or indirectly in the management, control, or capital of another, or where both are under common control. This includes:
-
Parent-subsidiary relationships
-
Common ownership (typically >25% of share capital or voting rights)
-
Family relationships under specific cases
-
Control via contractual arrangements
The arm’s length principle
Transactions between associated entities must adhere to the arm’s length principle — meaning they should reflect the price or terms that would be agreed between unrelated parties in comparable circumstances.
The accepted TP methods include:
-
Comparable Uncontrolled Price (CUP) method
-
Resale Price Method
-
Cost Plus Method
-
Transactional Net Margin Method (TNMM)
-
Profit Split Method
Businesses must select the most appropriate method based on the functional analysis and comparability of the transaction.
Mandatory TP documentation
Cypriot tax law now requires three main components of documentation:
1. Summary Information Table (SIT)
-
Who must file: All companies engaged in related-party transactions, regardless of the transaction value.
-
When: Submitted annually alongside the Income Tax Return (Form T.D.4).
-
Deadline: For tax years 2022 and 2023, extended to 31 May 2025 and 30 November 2025, respectively.
-
Penalty for late filing: Fixed at €500.
2. Local File
-
Thresholds:
-
€1,000,000 for each category of transactions in goods, services, IP, or other.
-
€5,000,000 for financial transactions (e.g., loans, guarantees).
-
-
Contents: Functional analysis, benchmarking, TP method used, and justification.
-
Filing deadline: Must be prepared by the tax return deadline but submitted only upon request by the CTD within 60 days.
-
Penalties for late submission:
-
61–90 days: €5,000
-
91–120 days: €10,000
-
Over 120 days or non-submission: €20,000
-
3. Master File
-
Required only if the Cypriot company is the ultimate or surrogate parent entity of a multinational group with a consolidated turnover exceeding €750 million.
-
Filing obligations and deadlines align with the Local File.
Annual updates and documentation review
TP documentation, especially benchmarking studies, must be updated annually to ensure relevance and reflect market conditions. An in-depth quality review by an experienced tax advisor is recommended to prevent inconsistencies and ensure audit readiness.
Advance Pricing Agreements (APA)
Cyprus allows taxpayers to enter into Advance Pricing Agreements (APAs) with the tax authorities. An APA can provide certainty for up to four years on the TP methodology applicable to future related-party transactions. This can be especially useful for complex financial or IP-heavy structures.
Special rules apply to intra-group financing arrangements, such as loans, cash pooling, or guarantees. In addition to the arm’s length requirement:
-
Economic substance in Cyprus may be examined.
-
A minimum return on equity may be necessary depending on the risk profile.
-
Back-to-back financing arrangements often attract regulatory scrutiny.
The importance of professional support
Given the complexity and strict enforcement of Cyprus’s transfer pricing rules, particularly in relation to associated enterprises, companies are strongly advised to seek professional assistance. A properly prepared TP study and compliance framework help:
-
Minimize the risk of tax reassessments
-
Avoid penalties
-
Enhance transparency with regulators
